After Quebecor made a last-minute increase in its offer for Osprey shares, the Osprey board of trustees approved the bid, CanWest News Service reports. The new offer came after a judge rejected Quebecor efforts to block a competing offer from Black Press Ltd.

(From Bloomberg.com) Osprey Media said it received a takeover bid of about $404 million from Black Press Ltd., topping a May 31 offer from Quebecor Media Inc. Osprey is giving Quebecor until July 5 to make an amended offer or they will pay the $15 million termination fee to cancel the deal. Black Press, based in Victoria, British Columbia, owns 150 community papers and 15 regional press operations.

News Corp. and Dow Jones have agreed in principle on ways to ensure the Wall Street Journal's independence, according to sources close to the deal. The issue of the newspaper's editorial integrity had been a key sticking point in negotiations, and its resolution clears the way for sale talks to proceed.

Rogers Media is buying the five Citytv stations CTVglobemedia Inc. was ordered to sell for approximately $375 million. The stations are in Toronto, Edmonton, Calgary, Winnipeg and Vancouver, where CTV already has conventional stations.

The Globe and Mail is reporting that Cerberus Capital Management is in talks with Shaw Communications Inc. and CanWest Global Communications Corp. to form a buying group to purchase BCE Inc. The New York-based Cereberus needs Canadian partners to avoid foreign ownership restrictions.
